Yagna Consulting (“Yagna,” “we,” “us,” or “our”) is a strategic advisory firm operating in Canada, providing business strategy consulting, execution planning, and growth advisory services to small and medium-sized businesses operating in the Canadian home services and trades sector.

Our registered business operates under the name Yagna Consulting and can be reached at hello@yagnaconsulting.ca. Our website is located at www.yagnaconsulting.ca.

References to “you,” “your,” or “client” in these Terms refer to any individual, sole proprietor, corporation, or other legal entity that accesses our website, submits any form, or engages us for services.

Acceptance of Terms

By accessing or using our website at www.yagnaconsulting.ca, submitting any contact or audit form, purchasing any service, or engaging with us in any capacity, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any additional terms communicated to you in writing.

If you do not agree to these Terms, you must not use our website or engage our services.

If you are accepting these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, “you” refers to that entity.

These Terms constitute a legally binding agreement between you and Yagna Consulting. We recommend saving or printing a copy for your records.

 

Description of Services

Yagna Consulting offers the following categories of services:

Strategy Sprint

A one-time, fixed-scope strategic engagement delivered within 7 to 10 business days from the date of the initial strategy session. The deliverables include a Business Diagnostic Report, Brand Clarity Document, Competitor Landscape Map, 90-Day Action Plan, Rebranding Direction Brief, and a 2-hour deep-dive strategy session conducted via video call.

Execution Partner Retainer

An ongoing monthly advisory retainer providing bi-weekly accountability video calls, real-time plan adjustments, asynchronous strategy support, and monthly milestone reviews. This retainer is made available to clients who have completed a Strategy Sprint engagement with Yagna Consulting.

Growth Council

A premium quarterly advisory engagement providing quarterly strategy re-diagnosis, full rebranding advisory, team and hiring structure guidance, investor readiness support, monthly group peer sessions, and priority access to a Yagna advisor. This tier is available to businesses with annual revenue of approximately $1,000,000 CAD or above.

Free Business Audit

A complimentary, non-binding written report prepared based on information voluntarily submitted through the Free Business Audit form on our website. This report is provided at no cost and without obligation. Full terms governing the Free Business Audit are set out in Section 5.

The specific deliverables, timelines, and scope for each paid engagement will be confirmed in writing prior to the commencement of any paid service. Yagna Consulting reserves the right to modify its service offerings at any time.

Eligibility

Our services are intended for businesses operating in Canada. By engaging with us, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding agreement
  • If engaging on behalf of a business entity, you have the authority to bind that entity
  • You are operating a lawful business in Canada
  • All information you provide to us is accurate, truthful, and complete to the best of your knowledge
  • You will notify us promptly of any material change to the information you have provided

Yagna Consulting reserves the right to decline service to any individual or business at our sole discretion, including where we determine the engagement is not a suitable fit, where we identify a conflict of interest, or where any information provided appears to be materially inaccurate or misleading.

Free Business Audit

The Free Business Audit is a complimentary written report prepared and delivered by email within 48 hours of receiving a completed audit form submission. The following terms govern this service specifically:

Nature of the Report

The Free Business Audit is a strategic observations document based solely on the information voluntarily provided by the submitter in the audit intake form. It is not a formal business valuation, financial audit, legal assessment, or professional advisory opinion of any kind.

No Obligation Created

Submission of the Free Business Audit form does not create any contractual relationship between the submitter and Yagna Consulting, and does not obligate either party to proceed with any paid engagement. The report is provided as a demonstration of our capabilities and as a genuine service to Canadian trades business owners.

Accuracy of Information

The quality and relevance of the audit report is entirely dependent on the accuracy and completeness of the information provided in the submission form. Yagna Consulting does not independently verify any information submitted and accepts no responsibility for inaccuracies in the report arising from incomplete or inaccurate submissions.

No Guarantee of Outcome

Any observations, estimates, or recommendations contained in the Free Business Audit report are provided in good faith based on limited information. They do not constitute a guarantee of any specific business outcome, revenue increase, or growth result. Yagna Consulting expressly disclaims liability for any decision made in reliance on the content of a Free Business Audit report.

Intellectual Property

The Free Business Audit report prepared for you is provided for your personal or internal business use only. You may not publish, distribute, resell, or misrepresent the contents of the report without our prior written consent.

Upsell Communication

The Free Business Audit email may include information about our paid Strategy Sprint service. This communication is clearly identified as a service recommendation and is not a condition of receiving the audit report. You may opt out of further marketing communications at any time as described in Section 16.

Paid Engagements

All paid services are subject to the following terms in addition to any service-specific agreement or proposal communicated to you in writing.

Commencement

A paid engagement commences upon receipt of payment in full (or the agreed initial payment instalment, where applicable) and confirmation from Yagna Consulting in writing. No work will commence prior to payment confirmation.

Scope of Work

The scope of each engagement is defined by the tier purchased and any written confirmation provided by Yagna Consulting. Work outside the defined scope may be quoted separately. Clients requesting additional deliverables beyond the agreed scope will be notified in writing before any additional fees are incurred.

Timeline

The Strategy Sprint delivery timeline of 7 to 10 business days begins from the date of the initial 2-hour strategy session, not from the date of payment. Timelines may be extended if the client fails to attend the scheduled strategy session, provides incomplete intake information, or requests scope changes after the session has occurred.

Client Cooperation

Timely delivery is contingent on the client’s cooperation, including attendance at scheduled sessions, prompt responses to information requests, and completion of any intake questionnaires within 3 business days of request. Delays caused by the client do not extend any refund eligibility windows.

Payment Terms

Pricing

All fees are quoted and charged in Canadian dollars (CAD) unless otherwise specified in writing. Current pricing is as follows:

  • Strategy Sprint: $2,500 CAD — payable in full prior to commencement
  • Execution Partner Retainer: $750 CAD per month — billed monthly in advance
  • Growth Council: $3,000 CAD per quarter — billed quarterly in advance

Yagna Consulting reserves the right to amend pricing at any time. Price changes will not apply to paid engagements already in progress.

Payment Methods

Payment is accepted via the methods communicated to you in the invoice or payment link. All transactions are processed through secure, third-party payment processors. Yagna Consulting does not store payment card details.

Taxes

All quoted fees are exclusive of applicable taxes. HST, GST, or other applicable Canadian taxes will be applied to invoices where required by law and communicated to you at the time of invoicing.

Late Payment

Retainer services may be suspended immediately upon failure to process a monthly or quarterly payment. Access to scheduled calls, async support, and deliverables will be paused until payment is received. Yagna Consulting is not liable for any business impact arising from service suspension due to non-payment.

Cancellation and Refunds

Strategy Sprint — Satisfaction Guarantee

Yagna Consulting offers a satisfaction guarantee on the Strategy Sprint engagement. If, upon delivery of all Sprint deliverables, you believe in good faith that the report and 90-day plan have not provided meaningful strategic value to your business, you may request a full refund within 7 calendar days of delivery by contacting us at hello@yagnaconsulting.ca with a written explanation.

Refund requests will be reviewed on a case-by-case basis. A refund will not be granted where the client has already shared or published the deliverables, implemented recommendations from the plan, or fails to provide a substantive reason for dissatisfaction.

Execution Partner Retainer — Cancellation

The Execution Partner monthly retainer may be cancelled by either party with 30 calendar days written notice sent to hello@yagnaconsulting.ca. The retainer will continue and the final payment will be processed during the 30-day notice period. No partial month refunds are provided.

Growth Council — Cancellation

The Growth Council may be cancelled with 30 calendar days written notice prior to the next quarterly billing date. Where notice is provided less than 30 days before a billing date, the upcoming quarter will be billed and the cancellation will take effect at the end of that quarter. Quarterly fees already paid are non-refundable except at the sole discretion of Yagna Consulting.

Cancellation by Yagna Consulting

Yagna Consulting reserves the right to terminate any engagement at any time where a client has breached these Terms, engaged in conduct that is harmful, abusive, or dishonest, or where continued engagement would create a conflict of interest. In such cases, a pro-rated refund of unused services may be provided at our discretion.

Refund requests submitted after the applicable window has expired, or for engagements where deliverables have already been fully delivered, will not be considered. All refund decisions by Yagna Consulting are final.

No Guarantee of Results

Important: Yagna Consulting does not guarantee any specific business outcome, revenue increase, client acquisition result, profitability improvement, or growth target as a result of any service we provide.

Business results depend on a wide range of factors entirely outside our control, including but not limited to: market conditions, client implementation efforts, economic environment, competition, staffing, operational capacity, and the accuracy of information provided to us.

Any case studies, examples, revenue estimates, or projected outcomes referenced in our materials, reports, or communications are illustrative only. They represent possibilities observed in similar business contexts and are not warranties or guarantees of results achievable by any specific client.

The 90-Day Action Plan delivered as part of the Strategy Sprint is a strategic tool. Its value is entirely dependent on the client’s execution of the recommended actions. Yagna Consulting accepts no liability for outcomes arising from a client’s decision to follow, modify, or not follow the recommendations in any delivered plan.

By engaging our services, you acknowledge and accept that all advisory services are provided on a best-efforts basis and that no outcome is guaranteed.

Disclaimer Not Professional Advice

Yagna Consulting is not a licensed financial advisor, chartered accountant, lawyer, insurance broker, or regulated professional of any kind. Nothing in any communication, report, plan, session, or other output from Yagna Consulting constitutes financial advice, legal advice, tax advice, accounting advice, or any other form of regulated professional advice.

Our services are strategic in nature. We provide frameworks, observations, and execution plans based on information provided by the client and our general knowledge of business strategy, brand positioning, and growth planning for the trades and home services sector.

Before making any significant financial, legal, operational, or investment decision based on guidance received from Yagna Consulting, you are strongly encouraged to consult with an appropriately licensed professional such as a chartered professional accountant, business lawyer, or financial planner.

Any reference to pricing benchmarks, market estimates, revenue ranges, or competitive insights is based on general industry knowledge and public information. It does not constitute a formal market research report or professionally validated analysis.

Client Responsibilities

In order for Yagna Consulting to deliver its services effectively, clients agree to the following responsibilities:

  • Provide accurate, complete, and truthful information in all forms, intake documents, and strategy sessions
  • Attend all scheduled sessions at the agreed times, or provide at least 24 hours advance notice if rescheduling is necessary
  • Respond to requests for additional information within 3 business days
  • Complete any pre-session intake questionnaires prior to the scheduled session date
  • Maintain the confidentiality of any strategic advice, frameworks, or methodologies shared by Yagna Consulting during the engagement
  • Not share, resell, or publicly disclose Yagna Consulting’s proprietary frameworks, templates, or methodologies without prior written consent
  • Ensure that any business information shared with Yagna Consulting does not infringe on the intellectual property rights or confidentiality obligations of any third party
  • Promptly notify Yagna Consulting of any material change to the business that may affect the relevance of the strategy being developed

Failure to meet these responsibilities may result in delayed delivery, reduced quality of output, or termination of the engagement at Yagna Consulting’s discretion. Delays caused by client non-compliance do not entitle the client to a refund.

Intellectual Property

Yagna’s Intellectual Property

All content on the Yagna Consulting website, including but not limited to text, graphics, logos, page layouts, service descriptions, and design elements, is the intellectual property of Yagna Consulting or its licensors and is protected by applicable Canadian and international copyright and trademark laws.

The strategic frameworks, diagnostic methodologies, brand clarity templates, competitor mapping tools, 90-day plan structures, and all other proprietary tools developed by Yagna Consulting remain the intellectual property of Yagna Consulting regardless of how they are used in client engagements.

Client-Specific Deliverables

Upon full payment of the applicable fees, the client-specific content of deliverables prepared for your business — including the written Business Diagnostic Report, Brand Clarity Document, Competitor Landscape Map, and 90-Day Action Plan — is licensed to you for your internal business use.

This license is non-exclusive, non-transferable, and limited to internal use by your business. It does not include the right to share, resell, sub-license, or publicly publish the deliverables, or to use Yagna Consulting’s name, brand, or methodology claims without written permission.

Client Content

You retain ownership of all information, data, and content you provide to Yagna Consulting. By submitting information to us, you grant Yagna Consulting a limited license to use that information solely for the purpose of delivering the services you have engaged us for. We will not use your confidential business information for any purpose outside of your engagement.

Confidentiality

Yagna Consulting acknowledges that in the course of providing services, we may receive confidential and sensitive business information including, but not limited to, financial figures, client lists, operational challenges, pricing strategies, personnel matters, and competitive intelligence.

We agree to hold all such information in strict confidence and to use it solely for the purpose of delivering the services engaged. We will not disclose confidential client information to any third party except:

  • Where required by applicable law or legal process
  • To our service providers (such as CRM platforms) who process data on our behalf and are bound by appropriate data protection agreements
  • With your prior written consent

This confidentiality obligation does not apply to information that is or becomes publicly available through no breach by Yagna Consulting, information independently developed by Yagna Consulting without reference to your confidential information, or information already known to us prior to your engagement.

You similarly agree to maintain the confidentiality of any proprietary frameworks, methodologies, or strategic tools shared with you by Yagna Consulting in the course of your engagement.

Limitation of Liability

Please read this section carefully. It limits Yagna Consulting’s financial exposure in connection with these Terms.

 

To the fullest extent permitted by applicable law, Yagna Consulting’s total cumulative liability to you arising from or in connection with these Terms or any service provided under them  whether based in contract, tort (including negligence), statute, or any other legal theory shall not exceed the total fees paid by you to Yagna Consulting in the 12-month period immediately preceding the event giving rise to the claim.

In no event shall Yagna Consulting be liable for any:

  • Loss of revenue, profit, or anticipated savings
  • Loss of business opportunity or contracts
  • Business interruption losses
  • Indirect, incidental, special, consequential, or punitive damages
  • Damages arising from decisions made in reliance on any report, plan, or advice provided by Yagna Consulting
  • Losses arising from the failure of any third-party platform, tool, or service used in connection with our services

These limitations apply even if Yagna Consulting has been advised of the possibility of such damages and even if any limited remedy fails of its essential purpose.

Nothing in these Terms limits or excludes liability for gross negligence or willful misconduct, or any liability that cannot be excluded by applicable law in the province of Ontario or under Canadian federal law.

Indemnification

You agree to indemnify, defend, and hold harmless Yagna Consulting, its owners, advisors, contractors, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of our website or services
  • Your breach of any provision of these Terms
  • Any information or content you provide to us that is inaccurate, misleading, or that infringes on the rights of a third party
  • Any decision you make in connection with any advice, plan, or report delivered by Yagna Consulting
  • Your violation of any applicable law, regulation, or third-party right

Communications Consent CASL Compliance

Yagna Consulting complies with Canada’s Anti-Spam Legislation (CASL). By submitting any form on our website and checking the applicable consent boxes, you expressly consent to receive commercial electronic messages from Yagna Consulting including:

Non-Marketing Messages

If you have consented to non-marketing messages, we may send you transactional and informational messages related to your engagement, including: service delivery updates, audit report delivery, account notices, and responses to inquiries you have submitted.
Marketing Messages
If you have consented to marketing messages, we may send you promotional communications including: service updates, offers, insights, business tips relevant to the Canadian trades industry, and information about new services.

Unsubscribing

You may withdraw your consent to receive commercial electronic messages at any time by:

  • Clicking the “Unsubscribe” link in any marketing email we send
  • Replying STOP to any marketing text message
  • Sending a written request to hello@yagnaconsulting.ca

Unsubscribe requests will be processed within 10 business days. Withdrawing marketing consent does not affect your ability to receive transactional messages directly related to an active service engagement.

SMS Communications

Where you have provided a phone number and consented to SMS communications, standard messaging and data rates may apply. Message frequency varies based on engagement activity. You may opt out at any time by replying STOP.

Third-Party Tools and Platforms

Yagna Consulting uses third-party software platforms to operate our business, including customer relationship management (CRM) software, email delivery tools, video conferencing platforms, and document management systems. By engaging our services, you acknowledge that your information may be processed by these platforms in accordance with their own privacy policies.

We take reasonable steps to ensure that all third-party processors we use maintain appropriate data protection standards. However, Yagna Consulting is not responsible for the privacy practices, data handling, security, or availability of third-party platforms.

Our website may contain links to third-party websites. These links are provided for convenience only. Yagna Consulting does not endorse, control, or accept responsibility for the content, privacy practices, or terms of any third-party website. Your use of linked sites is at your own risk.

Website Use

Your use of www.yagnaconsulting.ca is subject to the following conditions:

  • You will not use the website for any unlawful purpose or in any way that could damage, disable, or impair the website or interfere with any other user’s access
  • You will not attempt to gain unauthorised access to any part of the website, server, or network connected to the website

Termination

Either party may terminate an active paid engagement by providing written notice to the other party in accordance with the cancellation terms set out in Section 8 of these Terms.

Yagna Consulting may terminate any engagement immediately and without notice where:

  • The client provides materially false or misleading information
  • The client engages in abusive, threatening, or harassing conduct toward Yagna Consulting or its representatives
  • The client uses deliverables in a manner that breaches these Terms or applicable law
  • Continuing the engagement would place Yagna Consulting in breach of any law or regulation
  • Payment obligations are not met within 14 calendar days of the due date

Upon termination, all unpaid fees for work completed to date become immediately due and payable. Sections 9, 10, 12, 13, 14, 15, 20, and 21 of these Terms survive termination.

Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or any engagement with Yagna Consulting, the parties agree to first attempt to resolve the dispute through good faith negotiation. A party wishing to raise a dispute must provide written notice to the other party describing the nature of the dispute and the resolution sought.

If the dispute is not resolved through negotiation within 30 calendar days of the written notice, either party may refer the matter to mediation administered by a mutually agreed mediator in the province of Ontario. The costs of mediation shall be shared equally unless otherwise agreed.

If mediation is unsuccessful or is not agreed upon, either party may pursue resolution through the courts of the province of Ontario. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

Governing Law

These Terms and Conditions, and any dispute or claim arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising under these Terms, except where otherwise required by applicable law.

Amendments to These Terms

Yagna Consulting reserves the right to amend these Terms at any time. We will provide notice of material changes by:

  • Updating the “Last Updated” date at the top of this page
  • Posting a notice on our website
  • Sending an email notification to active clients where changes materially affect an ongoing engagement

Your continued use of our website or services after the effective date of any amendment constitutes your acceptance of the updated Terms. If you do not agree to amended Terms, you should cease use of our website and contact us to discuss any active engagement.

Severability and Entire Agreement

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.

These Terms, together with our Privacy Policy and any written engagement agreement or service confirmation issued to you, constitute the entire agreement between you and Yagna Consulting with respect to your use of our website and services, and supersede all prior oral or written communications, understandings, and agreements relating to the same subject matter.

No waiver by Yagna Consulting of any breach of these Terms shall be construed as a waiver of any subsequent breach. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
